SELLER TERMS & CONDITIONS FOR TOYSOUK<\/strong><\/p>\n\n\n\n

1.1. These Seller Terms & Conditions (“Terms”) govern the relationship between Souk Zone Trading & Consulting FZE, a company incorporated in the Sharjah Research Technology and Innovation Park Free Zone Authority, with its office located at Sharjah Research, Technology and Innovation Park, Block-B, Office B41-142, and business license number 8233 (“we”, “us”, or “our”), and you (“you” or “your”) as a seller on the ToySouk platform (“Platform”).<\/p>\n\n\n\n

1.2. By creating a seller account on the Platform, you agree to be bound by these Terms and any other policies or guidelines that we may publish on the Platform from time to time.<\/p>\n\n\n\n

2.1. “Account” means the seller account created by you on the Platform.<\/p>\n\n\n\n

2.2. “Content” means any text, images, videos, or other materials that you upload or publish on the Platform.<\/p>\n\n\n\n

2.3. “Intellectual Property Rights” means all patents, trademarks, trade secrets, copyrights, and other intellectual property rights.<\/p>\n\n\n\n

2.4. “Order” means a purchase order placed by a buyer on the Platform for a product listed by you.<\/p>\n\n\n\n

2.5. “Product” means any item that you list for sale on the Platform.<\/p>\n\n\n\n

2.6. “Trade License” means a valid trade license issued by the relevant authorities in the UAE.<\/p>\n\n\n\n

Eligibility<\/strong><\/p>\n\n\n\n

3.1. To be eligible to sell on the Platform, you must:<\/p>\n\n\n\n

– Be at least 18 years old;<\/p>\n\n\n\n

– Have a valid Trade License;<\/p>\n\n\n\n

– Be authorized to sell products in the UAE;<\/p>\n\n\n\n

– Comply with all applicable laws and regulations in the UAE.<\/p>\n\n\n\n

3.2. We reserve the right to verify your eligibility to sell on the Platform at any time.<\/p>\n\n\n\n

Account Creation and Management<\/strong><\/p>\n\n\n\n

4.1. To create an Account, you must provide accurate and complete information, including your name, email address, phone number, and Trade License details.<\/p>\n\n\n\n

4.2. You are responsible for maintaining the confidentiality and security of your Account, including your password and other login credentials.<\/p>\n\n\n\n

4.3. You must notify us immediately if you suspect any unauthorized use of your Account.<\/p>\n\n\n\n

Product Listings<\/strong><\/p>\n\n\n\n

5.1. You may list products for sale on the Platform, subject to our approval.<\/p>\n\n\n\n

5.2. You must ensure that all product listings are accurate, complete, and comply with our content guidelines.<\/p>\n\n\n\n

5.3. You are responsible for setting the price and description of your products, and for ensuring that they comply with all applicable laws and regulations in the UAE.<\/p>\n\n\n\n

Orders and Fulfillment<\/strong><\/p>\n\n\n\n

6.1. When a buyer places an Order, you will receive a notification from us.<\/p>\n\n\n\n

6.2. You must fulfill the Order within the timeframe specified in the Order, and ensure that the product is delivered to the buyer in good condition.<\/p>\n\n\n\n

6.3. You are responsible for providing customer support and resolving any issues related to the Order.<\/p>\n\n\n\n

Payment Terms<\/strong><\/p>\n\n\n\n

7.1. We will facilitate payment for Orders through our payment gateway.<\/p>\n\n\n\n

7.2. You will receive payment for Orders after we have deducted our commission and any other applicable fees.<\/p>\n\n\n\n

7.3. You are responsible for paying all taxes and fees related to your sales on the Platform.<\/p>\n\n\n\n

Intellectual Property Rights<\/strong><\/p>\n\n\n\n

8.1. You grant us a non-exclusive, royalty-free license to use your Content on the Platform.<\/p>\n\n\n\n

8.2. You represent and warrant that you have the necessary Intellectual Property Rights to sell the products listed on the Platform.<\/p>\n\n\n\n

8.3. You will indemnify us against any claims or damages arising from any infringement of Intellectual Property Rights.<\/p>\n\n\n\n

Warranties and Representations<\/strong><\/p>\n\n\n\n

9.1. You warrant and represent that:<\/p>\n\n\n\n

– You have the right to sell the products listed on the Platform;<\/p>\n\n\n\n

– The products comply with all applicable laws and regulations in the UAE;<\/p>\n\n\n\n

– The products are free from defects and are of good quality.<\/p>\n\n\n\n

9.2. You will indemnify us against any claims or damages arising from any breach of these warranties and representations.<\/p>\n\n\n\n

10.1. We may terminate your Account and access to the Platform at any time, without notice, if:<\/p>\n\n\n\n

– You breach these Terms;<\/p>\n\n\n\n

– You fail to comply with any applicable laws or regulations in the UAE;<\/p>\n\n\n\n

– We receive complaints or negative feedback about your products or customer service.<\/p>\n\n\n\n

10.2. Upon termination, you must immediately stop using the Platform and remove all Content.<\/p>\n\n\n\n

11.1. These Terms will be governed by and construed in accordance with the laws of the United Arab Emirates.<\/p>\n\n\n\n

11.2. Any disputes arising out of or in connection with these Terms will be resolved through arbitration in accordance with the rules of the Dubai International Arbitration Centre.<\/p>\n\n\n\n

11.3. The arbitration will be conducted in the English language and will be binding on both parties.<\/p>\n\n\n\n

Entire Agreement<\/strong><\/p>\n\n\n\n
